Terms of Service

These Terms of Service ("Terms") govern your access to and use of the website located at www.listspokane.com (the "Site") and all related services (collectively, the "Services") operated by RankFlow Systems LLC, a Washington State limited liability company ("Company," "we," "us," or "our"). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.

1. Description of Services

ListSpokane is an online business directory that provides listings and information about local businesses in the Spokane, Washington metropolitan area and the Inland Northwest region. The Services include free and paid business listings, business search and discovery, lead generation services, business verification, and related features.

2. Eligibility

You must be at least 18 years of age to use the Services. By using the Services, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms.

3. User Accounts

You may be required to create an account to access certain features. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately of any unauthorized use.

4. Business Listings

Publicly Sourced Listings. Our directory may include business listings compiled from publicly available sources, including government records, public registrations, online directories, and other publicly accessible databases. These listings are designated as "unverified" and represent publicly available information. Businesses listed through publicly sourced data have not been contacted, endorsed, or vetted by ListSpokane. Inclusion in the directory does not imply any business relationship, endorsement, sponsorship, or affiliation between ListSpokane and the listed business.

User-Submitted Listings. Businesses may submit their own listings or claim existing listings. By submitting or claiming a listing, you represent and warrant that you are an authorized representative of the listed business, that all information provided is accurate, and that you have the authority to provide such information.

Listing Content. We reserve the right to edit, modify, remove, or refuse any listing at our sole discretion, for any reason or no reason, without notice. We do not guarantee the accuracy, completeness, or reliability of any listing information.

Listing Removal. If you are an authorized representative of a business listed in our directory and wish to have the listing removed, submit a request to support@listspokane.com. Removal requests must include verification of your identity and authority to act on behalf of the business. We will process verified requests within thirty (30) business days. Repeated or fraudulent removal requests may be denied.

5. Paid Services and Fees

Premium Listings. We may offer paid listing upgrades, featured placements, and other premium services. Pricing and features are described on the Site and may change at any time.

Payment. By purchasing a paid service, you agree to pay all applicable fees. Payments are processed by third-party payment processors and are subject to their terms.

No Refunds. All fees paid for Services are non-refundable. This includes but is not limited to fees for premium listings, featured placements, advertising, lead generation services, and any other paid features. Once a payment has been processed, no refunds, credits, or exchanges will be issued, regardless of whether you continue to use the Services, cancel your account, or request removal of your listing. By making a purchase, you acknowledge and agree to this no-refund policy.

Billing Disputes. If you believe you have been billed in error, you must contact support@listspokane.com within fifteen (15) days of the billing date. Claims submitted after this period may not be honored.

6. Lead Generation Services

Service Description. We may offer lead generation services through which visitors to the Site submit inquiries about local businesses. We may distribute these leads to listed businesses, premium listing holders, or third parties at our discretion.

No Guarantees. We do not guarantee the quality, accuracy, exclusivity, or conversion rate of any leads. Leads are provided on an "as-is" basis. We are not responsible for the outcome of any interaction between you and a lead.

Lead Data. Information submitted through lead generation forms on the Site becomes the property of RankFlow Systems LLC. We reserve the right to use, distribute, and share lead information in accordance with our Privacy Policy.

7. Intellectual Property

All content, features, functionality, design, text, graphics, logos, and software on the Site are owned by RankFlow Systems LLC or its licensors and are protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or create derivative works based on the Site or its content without our prior written consent.

8. User Conduct

You agree not to:

• Use the Services for any unlawful purpose
• Submit false, misleading, or fraudulent information
• Interfere with or disrupt the Services or servers
• Attempt to gain unauthorized access to any part of the Services
• Scrape, harvest, or collect information from the Site through automated means without our express written permission
• Use the Services to send spam, unsolicited messages, or promotional materials
• Impersonate another person or business
• Violate any applicable local, state, national, or international law

9. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. WE DO NOT WARRANT THE ACCURACY, COMPLETENESS, OR RELIABILITY OF ANY LISTING, CONTENT, OR INFORMATION ON THE SITE.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, RANKFLOW SYSTEMS LLC, ITS OFFICERS, DIRECTORS, MEMBERS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICES, REGARDLESS OF THE THEORY OF LIABILITY. OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE TOTAL AMOUNT YOU HAVE PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100.00), WHICHEVER IS GREATER.

11. Indemnification

You agree to indemnify, defend, and hold harmless RankFlow Systems LLC, its officers, directors, members, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Services; (b) your violation of these Terms; (c) your violation of any third-party rights; (d) any content or information you submit through the Services; or (e) your business activities, products, or services.

12. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of Washington, without regard to its conflict of law provisions. Any dispute arising out of or related to these Terms or the Services shall be resolved exclusively in the state or federal courts located in Spokane County, Washington. You consent to the personal jurisdiction of such courts.

13. Dispute Resolution

Before initiating any legal proceeding, you agree to first contact us at support@listspokane.com and attempt to resolve the dispute informally for a period of thirty (30) days. If the dispute cannot be resolved informally, either party may proceed with legal action as described in Section 12.

14. Modifications

We reserve the right to modify these Terms at any time. Changes are effective when posted to the Site. Your continued use of the Services after any modification constitutes acceptance of the revised Terms. It is your responsibility to review these Terms periodically.

15. Termination

We may suspend or terminate your access to the Services at any time, for any reason or no reason, without notice. Upon termination, your right to use the Services ceases immediately. Sections that by their nature should survive termination shall survive, including but not limited to Sections 5 (No Refunds), 7, 9, 10, 11, and 12.

16. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

17. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and RankFlow Systems LLC regarding the Services and supersede all prior agreements, representations, and understandings.
